All or Part

Liquidity does not always require selling every future payment.

A note holder may wish to evaluate the entire remaining payment stream, or only a defined portion of it. A partial transaction can potentially provide present-day liquidity while preserving rights to future payments under the final transaction documents.

How It Works

From private note to informed decision.

A professional review begins with the note terms, then moves through documentation, collateral, payment history and potential transaction structures.

01

Initial Review

We begin with the property, approximate balance, interest rate, monthly payment, remaining term and your objectives.

02

Verification

If the opportunity warrants further review, relevant note, security instrument, payment history and property information may be requested.

03

Analysis

The note is evaluated in light of its economics, collateral, lien position, performance, documentation and applicable buyer criteria.

04

Options

Where a potential transaction exists, possible full or partial sale structures and next steps can be discussed. You decide whether to proceed.

Important: A note's unpaid balance is not automatically its cash value. Market value can be affected by rate, remaining term, payment history, property value, equity, lien position, documentation, borrower profile, transaction costs and the return requirements of a potential buyer.

Full or Partial

The transaction can be structured around the holder's objective.

Full note sale

A potential buyer evaluates the remaining payment stream and underlying collateral for a possible purchase of the seller's remaining interest.

Partial note sale

A transaction may instead involve a defined portion of the payment stream. The exact structure, servicing and reversion of payment rights must be documented in the final transaction.

What is a note review?

An initial review considers the basic note terms, property, payment history and the holder's objectives to determine whether further analysis or a potential transaction may make sense. It is not a certified real estate appraisal or a guarantee of value.

Do I have to sell the entire note?

No. Depending on the note and available transaction structures, a holder may be able to explore a full sale or a partial sale of defined future payments.

Is the unpaid balance the amount I will receive?

Not necessarily. Potential cash value depends on multiple factors, including the note's interest rate, remaining term, performance, collateral, lien position, documentation and a buyer's required return.

What documents may be needed?

After the initial inquiry, relevant documents may include the promissory note, mortgage or deed of trust, payment history, closing documents, servicing information and other records needed to verify the asset.

How long does a transaction take?

Timing varies with the note, documentation, title and collateral review, responsiveness of the parties and the specific buyer or funding structure. The Note Desk does not promise a fixed closing timeline before reviewing the transaction.

Can an attorney or other professional contact you for a client?

Yes. The Note Desk welcomes inquiries from attorneys, CPAs, financial professionals, real estate professionals, title/closing professionals, fiduciaries and other advisers when a privately held note is relevant to a client's matter.
